Monday, May 15, 2023

PHILADELPHIA – May 15, 2023Cozen O’Connor is pleased to announce that Christopher S. McLoon, a nationally recognized and respected tax attorney, has joined the firm’s Tax practice. McLoon, who has spent nearly three decades providing strategic tax guidance to major businesses, investors, and real estate developers, comes to the firm from Nutter McClennen & Fish LLP. He joins Cozen O’Connor as a member and will work out of the firm’s Philadelphia office.

McLoon focuses his practice on providing public/private businesses across a range of industries with sophisticated tax guidance on an array of business transactions, including mergers and acquisitions and REIT formations and operations. In particular, he brings substantial experience helping real estate developers and investors optimize a project’s business and tax results when executing or investing in major hotel, office, retail, and residential deals.

“Providing knowledgeable tax advice on partnership taxation, particularly with real estate transactions, to our clients can have a major impact on the structure of a deal, and Chris brings that wealth of knowledge and experience to our clients,” said Richard J. Silpe, chair of Cozen O’Connor’s Tax Group.  “He also brings substantial experience in M&A and tax credits that further complement our service offerings there. He’s a great addition to our team, and we are happy to welcome him aboard.”

For real estate transactions, McLoon works with clients to ensure that all sponsor and investor tax needs are met — including foreign and tax-exempt investors — for a variety of entity types, including partnerships, corporations, and REITs. He also helps investors and developers structure their projects to qualify for a range of project-specific tax benefits, including low-income housing, historic rehabilitation, new markets, and renewable energy tax credits.

Recognized by Chambers USA (2010-2022) and Best Lawyers (2007-2023) as a leader in tax and corporate law, McLoon is a member of the Tax Section of the American Bar Association, where he is a John S. Nolan Fellow and chaired the Section 708 Partnership Terminations Subcommittee. Earlier in his career, he co-chaired the committees that drafted the Maine Uniform Partnership Act, the Maine Uniform Limited Partnership Act of 2007, and the Maine Limited Liability Company Act.

“I’m thrilled to be joining Cozen O’Connor, which has an exceptional reputation, especially in tax law, and a strong presence in real estate development and investment,” said McLoon. “With its expanding North American footprint, clients conducting business in the United States and Canada can secure advice from a single source on a broad range of legal matters. This is a great spot for both my practice, as well as my clients.”

McLoon earned his LL.M. in Tax at New York University School of Law, his J.D. at the Vermont Law School, and his B.S. at the University of Maine.
